1. Introduction

2. General Business Terms

• B2B Relationship: Our services are exclusively for business-to-business (B2B) transactions. You represent that you are acting for business purposes and not as a consumer.

• Account Accuracy: You are responsible for maintaining the confidentiality of your account login details and for ensuring that all information provided to us (company details, contact information, etc.) is accurate and current.

• Prohibited Use: You agree not to use this Site for any unlawful purpose or to violate any international, national, or local regulations.

3. Orders & Acceptance

• Quotations: All quotations we provide are valid for 30 days from the date of issue, unless otherwise stated. Prices are subject to change due to fluctuations in raw material costs.

• Order Process: A binding contract is formed only when we issue a Proforma Invoice (PI) and you provide written confirmation of acceptance, followed by the payment of the initial deposit as specified in the PI.

• Order Specifications: It is your responsibility to review and approve all details on the PI, including product specifications, quantities, prices, and delivery terms (Incoterms 2020). We are not liable for errors resulting from your failure to provide accurate or complete information.

4. Pricing & Payment Terms

• Currency: All prices are quoted in [e.g., US Dollars (USD)] unless otherwise agreed.

• Payment Terms: Standard payment terms are as follows, unless otherwise specified in the PI:

  • 30% deposit upon order confirmation.

  • 70% balance before shipment or against copy of Bill of Lading.

• Late Payment: We reserve the right to charge interest on overdue payments and to halt production or withhold shipment until all payments are received in full.

5. Delivery & Shipping

• Incoterms: The delivery terms (e.g., FOB, EXW, CIF) will be clearly stated on the PI. These terms define the responsibilities, costs, and risks between you and us.

• Delivery Times: Any estimated delivery or shipping dates provided are approximate and not guaranteed. We are not liable for delays caused by factors beyond our reasonable control, including but not limited to force majeure events, customs delays, or carrier issues.

• Title and Risk: Title and risk of loss for the goods pass to you in accordance with the agreed Incoterms.

6. Inspection & Quality Control

We implement strict quality control during production. You or your appointed agent have the right to conduct a pre-shipment inspection at our factory, subject to prior arrangement and at your cost. The inspection results will be used to address any major defects before shipment.

7. Returns, Refunds, and Warranties

• Warranty: We warrant that our products will be free from material manufacturing defects at the time of shipment.

• Claims Process: Any claims for defective goods must be reported to us in writing (email to service@trensdova.com) within 7 days of receipt of the goods, with a detailed description and supporting photo/video evidence. A formal claim must be filed within 15 days.

• Exclusive Remedy: Our sole obligation, and your exclusive remedy, for validated defective goods is, at our option, either the replacement of the defective items or the issuance of a credit note for the value of those items. 8. Intellectual Property

All designs, patterns, samples, and technical information provided by us remain our exclusive intellectual property or that of our licensors. You may not reproduce, distribute, or use these for any purpose other than evaluating and selling the finished products you purchase from us.

9. Limitation of Liability

To the fullest extent permitted by law, our total liability to you for any and all claims arising from or related to an order shall not exceed the total purchase price of that specific order. We shall not be liable for any indirect, incidental, special, or consequential damages, including loss of profits.

10. Force Majeure

Neither party shall be held liable for any failure or delay in performance due to circumstances beyond its reasonable control, including but not limited to acts of God, war, terrorism, government regulations, strikes, or material shortages.

11. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the Hong Kong Special Administrative Region. Any dispute arising from these Terms shall be first settled through friendly negotiations. If negotiation fails, the dispute shall be submitted to the Hong Kong International Arbitration Centre (HKIAC) for arbitration.

12. Changes to Terms

We reserve the right to modify these Terms at any time. The updated version will be posted on this page with a revised “Last Updated” date. Your continued use of our Site or services after any change constitutes your acceptance of the new Terms.
